Dear Sir,

Thankyou for your trust and support to DUNBA products, DUNBA Nano lubrication andmaintaining products include Automotive Nano oil-saving & maintainingproducts (short as Type A ) and Industrial Nano energy-saving & maintainingproductsshort as Type B,the detail Acting Policy is asfollows:

I. Agent and wholesaler’squalification

1. National exclusive agent


1) Agent of both Type A and Type B:

Acting fee is 10,000USD.During the agenttrying period, the goods delivery amount must be more than 24,000USD; hereafterevery half year the amount must be more than 40,000USD,whole year sale amountmust be more than 80,000USD.From the second year, whole year sale amount mustbe 160,000USD.

2) Agent of Type A or Type B:

Acting fee is 7,000USD.During the agenttrying period, the goods delivery amount must be more than 16,000USD; hereafterevery half year the amount must be more than 32,000 USD, whole year sale amountmore than 64,000 USD; from the second year, whole year sale amount must be morethan 127,000USD.


2. Wholesaler:

1) Sale of both Type A and Type B: During thetrying sale period, the goods delivery amount must be more than 8,000 USD,hereafter every half year the amount more than 16,000 USD, whole year saleamount more than 32,000 USD, from the second year, whole year sale amount mustbe more than 40,000.

2) Sale of Type A or Type B: During thetrying sale period, the goods delivery amount must be more than 4,800 USD,hereafter every half year the amount more than 10,000 USD, whole year saleamount more than 20,000 USD, from the second year, whole year sale amount mustbe more than 24,000.

P.S.:

1) The trying agent period or trying saleperiod is defined as 3 months after the date of contract signature.

2) If the sale task couldn’t be fulfilled,the qualification will be degrade to the corresponding level according to realsale amount.

3) As for the agent of both Type A and TypeB, the sale amount of either Type A or Type B must reach 20% of the total yearsale amount.

4) The qualification will be elevated tocorresponding level if the sale amount is fulfilled.

II. Actingpolicy

1. Nationalexclusive agent:

The retail price falls by 45%.

2. Wholesalers:

The retail price fell by 25%.

3. If sales achieve 160,000 dollars, the agent fee can be changed intothe payment of next goods.

III. We givea sales incentive for agent feeaccording to the performance of annual sales as follows:
